Terms of Service

This Agreement is a binding contract between you (the individual or entity using Supadev) and Supadev LLC (“Supadev,” “we,” “us,” or “our”). If you use Supadev on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use the service.

Supadev provides an AI-assisted workspace to describe, generate, preview, iterate, and hand off Odoo modules (including GitHub push where enabled). Features may include agent chat, file editing, live preview environments, hour-based hire packages, and human tech expertise support. We may modify, add, or remove features as the product evolves.

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Supadev for your internal business purposes during your active subscription or remaining prepaid hours. This license does not transfer ownership of Supadev software, models, infrastructure, branding, or documentation.

You may not:

• Copy, modify, distribute, sell, lease, or sublicense the Supadev platform itself.
• Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly allows and you have first requested interoperability information from us.
• Use the service to build a competing platform or to scrape training data at scale.
• Circumvent rate limits, security controls, usage metering, or access restrictions.
• Share account credentials or allow unauthorized multi-user access outside your plan.

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use. Supadev is intended for professional and business users who can form a binding contract.

Certain Supadev offerings (including Hire packages such as Sumar Dev and Super Dev) are sold or pre-booked as paid hours or similar usage credits. Hours are consumed as you use AI agents, workspace capacity, and related services according to the package you select.

Pre-booking promotions (including launch multipliers such as 2× hours) are subject to the offer terms published at purchase time. Unused promotional hours expire according to those terms or as otherwise communicated at launch.

Human tech expertise support may include guidance on using the agent workspace, clarifying build outcomes, helping with preview or GitHub handoff issues, and advising on Odoo module structure within reasonable commercial limits. Support does not guarantee a specific business result, production go-live, or unlimited engineering time beyond your purchased hours and package entitlements.

You retain rights in prompts, specifications, and module code you create or upload (“Customer Content”), subject to third-party rights and open-source licenses that may apply. You grant Supadev a worldwide license to host, process, transmit, and display Customer Content solely to provide and improve the service (including AI processing and preview environments).

You are responsible for reviewing generated output before production use, complying with Odoo and third-party licenses, and ensuring Customer Content does not infringe others’ rights or contain unlawful material.

• Do not misuse the platform for fraud, malware, or unauthorized access to systems.
• Do not attempt to disrupt, overload, or probe Supadev infrastructure.
• Do not submit unlawful, harmful, or infringing content.
• Do not use the service in violation of export, sanctions, or privacy laws.
• Do not share secrets, production credentials, or personal data you are not authorized to process in AI prompts.

Supadev may integrate with third parties such as GitHub, payment processors, hosting providers, and AI model vendors. Their terms and privacy policies apply to your use of those services. We are not responsible for third-party outages or policy changes outside our reasonable control.

Supadev branding, UI, software, documentation, and related materials are owned by Supadev LLC or its licensors. Feedback you provide may be used by us without obligation to you. Nothing in this Agreement assigns our platform IP to you.

THE SERVICE AND ANY OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI-GENERATED MODULES MAY CONTAIN ERRORS; YOU MUST REVIEW, TEST, AND VALIDATE BEFORE PRODUCTION USE. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OF PREVIEW ENVIRONMENTS OR THIRD-PARTY INTEGRATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPADEV AND SUPADEV LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR SUPADEV IN THE THREE (3) MONTHS PRECEDING THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT WHERE PROHIBITED BY LAW.

You will defend and indemnify Supadev and Supadev LLC against claims arising from your Customer Content, your misuse of the service, your violation of this Agreement, or your infringement of third-party rights, to the extent permitted by law.

We may suspend or terminate access if you breach this Agreement, create security or abuse risk, fail to pay amounts due, or if required by law. You may stop using Supadev at any time. Sections that by nature should survive (including paid-hours / no-refund terms, IP, disclaimers, liability limits, and indemnity) will survive termination. Unused paid hours remain non-refundable as stated in Section 5.

We may update this Agreement from time to time. The “Last updated” date will change when we do. Continued use after an update constitutes acceptance of the revised terms, except where applicable law requires additional consent.

This Agreement is governed by the laws applicable to Supadev LLC, without regard to conflict-of-law principles. Courts with competent jurisdiction over Supadev LLC may hear disputes arising under this Agreement, except where mandatory local law provides otherwise.
